1. Service and agreement
1.1. Morph Search Readiness (the Service) is a one-time technical SEO and AI-search-readiness setup supplied by the Morph contracting entity identified at checkout (Morph, we, us). The buyer commissioning the Service is the Client (you).
1.2. The order comprises these Terms, any separately agreed custom-integration quotation, the checkout summary, the accepted eligibility submission and the agreed benchmark protocol (together, the Agreement). Where there is a contradiction, a separately accepted written scope or statutory requirement overrides a generic website description; benchmark and refund rights may not be reduced retroactively without your agreement.
1.3. The standard service price is USD $499 one-time, exclusive of VAT for one eligible website. Where a custom integration is separately quoted and approved, its additional fee is displayed as a distinct checkout line item and is also exclusive of any applicable VAT. There is no recurring subscription, automatic renewal or included ongoing SEO/AEO management. The total price, any approved add-on and any applicable tax must be displayed before payment.
1.3A. Where the supply is subject to UAE standard-rated VAT and Morph is required to account for it, 5% UAE VAT is added to the taxable amount. Supplies to businesses outside the UAE may be zero-rated at 0% only where the applicable export-of-services criteria are satisfied and documented. An overseas billing address, company name or website domain does not, on its own, establish entitlement to zero-rating. Morph may request the purchasing entity’s full legal name, billing address, country of establishment, business registration information and other reasonable evidence needed to determine tax treatment. No overseas supply is described as "VAT-exempt" merely because the customer is foreign.
1.3B. If the information supplied does not substantiate a zero-rated or other applicable treatment, checkout may be delayed for tax review. Any corrections to an issued tax invoice or related refund will follow applicable law. The checkout must not present a tax-exclusive service amount as the final charge where VAT is due.
1.4. Payment is processed through Stripe or the disclosed checkout provider. A payment receipt confirms the transaction, not that an incompatible site has passed final technical eligibility review.
1.4A. For this Service, Stripe will generate a paid invoice following successful checkout, reflecting the verified payment, purchasing entity, agreed base and add-on service components and tax treatment as applicable. A standalone card-payment receipt is not the tax invoice. The Client must provide accurate purchasing-entity, billing address and applicable tax registration details. Morph remains legally responsible for tax-invoice correctness and for issuing any necessary compliant correction or credit note through its designated invoicing process. Invoices are not additionally issued through Zoho Books for this Service.
2. Eligibility and accepted scope
2.1. The standard order covers one primary domain, one primary language, one primary geographic market and up to ten agreed priority public pages. Subdomains, separate sites, multiple languages or markets, and pages beyond that limit require a separate written agreement.
2.2. Standard platform candidates are WordPress, Shopify and Wix, plus custom-built websites where Morph is granted a suitable GitHub repository and safe, authorised deployment path. A custom-built website without a suitable GitHub repository may be accepted only after Morph provides and the Client approves a specific written integration scope and additional fee. Morph may decline the environment if no safe or authorised implementation route exists. Every platform remains subject to technical feasibility, security and access checks.
2.3. Before acceptance, you must confirm ownership of the website or authority to commission changes, identify an authorised approver, and disclose known restrictions such as active malware, unavailable hosting or deployment control, heavily customised architecture, an active migration, sensitive data, third-party vendor lock-in or regulatory restrictions.
2.4. We may decline a technically unsuitable order before starting work. If Morph declines a paid order because it cannot support the environment, you may choose a separately quoted custom service or receive a full reversal/refund of the amount paid, to the extent technically possible, without a deduction imposed by Morph. This is separate from the benchmark guarantee.
2.5. Any change to agreed domain, platform, market, language, priority pages or acceptance protocol after work starts is a scope change requiring written agreement, potential repricing and a revised timeline. We will not silently change the tested page or task definitions to claim a pass.
3. What is included
3.1. Initial inspection: review of the agreed site’s foundational crawl and indexation signals, robots/sitemap/canonical behaviour, selected metadata/headings, legitimate structured data and entity clarity, link architecture, and related technical factors where accessible.
3.2. Implementation: in-scope, low-risk, reversible improvements that Morph can safely make using authorised CMS settings, approved code/repository changes or available platform controls. Examples may include page titles and descriptions, headings, canonical or indexation corrections, appropriate schema, and selected internal links. The exact work is determined by diagnosis, feasibility and approvals, not by a fixed quota of edits.
3.3. Keyword and content opportunity map: a prioritised research deliverable identifying search themes, relevant buyer questions, page-to-keyword or intent alignment, competitor/SERP observations when feasible, and optimise / create / ignore next steps.
3.4. Evidence and close-out: baseline and final Lighthouse SEO evidence for the agreed benchmark URL, the agreed three browsing-task tests, a change log, unresolved issue register, opportunity map, and one closing meeting. A recorded result is not a claim about general rankings or future traffic.
3.5. The Service is complete when the deliverables are provided and the benchmark acceptance and correction procedure in Sections 7-9 has been completed, including any applicable refund remedy. Scheduling or nonattendance of the optional close-out meeting does not extinguish a valid benchmark claim.
4. What is excluded
4.1. The price does not include writing or publishing articles or general marketing copy, design/redesign, backlinks, digital PR, Google Business Profile or local SEO work, ongoing SEO/AEO monitoring or consulting, monthly reporting, paid advertising, malware/security remediation, major accessibility rebuilds, custom integration, bespoke backend engineering or paid third-party licences.
4.2. If the recommended change requires excluded work, Morph will document the limitation and obtain separate written approval before any additional charge. An approved custom integration must identify its scope, fee and any distinct cancellation or refund treatment before checkout, subject always to applicable law. Declining an upsell does not, by itself, remove the benchmark guarantee for an originally accepted eligible scope.
4.3. We will not implement unsafe, illegal, destructive, unsupported or unauthorised changes. If a material blocker was reasonably discoverable during pre-acceptance, Morph will not retrospectively transfer that risk to the Client to avoid the stated remedy.
5. Your prerequisites, access and cooperation
5.1. Your purchase is a mutual commitment. By placing and paying for the order, you undertake to cooperate reasonably and provide complete, accurate and usable onboarding information, permissions and approvals. Within seven calendar days after our requirements email, you must supply the mandatory prerequisites applicable to your approved website: (a) business name, core services/products and market; (b) authorised approver and suitable technical contact; (c) priority URLs or consent for Morph to nominate them for approval; (d) delegated and appropriately scoped site/repository access; (e) an acceptable backup, recovery and deployment path; (f) approval for defined low-risk modifications; (g) applicable data-processing and tooling authorisations; and (h) any required hosting, vendor or platform consents. We allocate onboarding work and a potential delivery slot in reliance on this commitment, subject to acceptance of complete prerequisites.
5.2. We will send practical onboarding instructions and notify you of incomplete or unusable prerequisites. Courtesy reminders may be sent through the portal on a configurable schedule; these automated reminders are not a substitute for a formal deficiency notice. If required items are still missing on day 7, we will issue a written deficiency notice identifying the exact outstanding items and provide three additional calendar days to remedy them. The maximum routine prerequisite window is therefore ten calendar days from the requirements email, subject to any extension agreed in writing.
5.3. Client non-cooperation and refund consequences. If, after the written notice and additional remedy period in Section 5.2, you do not provide the specified mandatory information, secure access, backup/rollback route or approvals, Morph may suspend and then close the order. You are not entitled to an automatic or full refund merely because the Service cannot proceed due to your failure to fulfil these agreed requirements. This is Client-caused non-performance, not a missed Morph delivery deadline or a failed benchmark under Section 8. Morph may retain the reasonable and supportable portion of the amount paid corresponding to onboarding and technical assessment already performed, project preparation, delivery capacity actually committed and not reasonably reallocated, and unavoidable third-party or processing charges. Morph will assess any unused balance fairly and provide a reasonable itemised explanation if a refund is requested. No retention operates as a penalty, and nothing in this clause removes mandatory statutory rights or applies where Morph caused the inability to proceed.
5.3A. If you subsequently supply the missing requirements after an order has been suspended or closed, Morph may offer to reactivate it subject to available delivery capacity, a fresh acceptance review and an agreed revised schedule. No additional fee will be charged without your prior written approval; Morph is not required to reserve the original implementation slot indefinitely.
5.4. Only use secure delegated invitations or other approved secure access methods. Do not send passwords, API keys, payment card data, private customer records or production secrets through public forms, ordinary email or unsecured chat. We will request the least privilege reasonably necessary.
5.5. You must maintain lawful rights to site content and shared information, inform Morph about regulated/confidential data, and provide reasonable approvals during an active sprint. You must not knowingly remove access, change the tested pages or deploy incompatible modifications during the agreed test/correction periods without telling Morph.
5.6. Google Search Console and analytics viewer access, competitor lists and historical SEO reports are helpful but optional if unavailable or not already configured, unless identified as a particular, agreed prerequisite for the specific technical implementation.
6. Start date and one-week delivery
6.1. One week means five business days starting from Morph’s written Ready to Start confirmation. Morph issues this confirmation only after eligibility, required materials, access, backup/rollback options, scope, baseline test configuration and implementation permissions are verified.
6.2. Business days are Monday through Friday, excluding applicable public holidays observed by the Morph delivery team and communicated at acceptance. Morph will identify the target handover date in the Ready to Start notice.
6.3. The delivery clock can pause for a material client delay, loss of access, active third-party outage, required legal/security review, unapproved deployment or other critical blocker beyond the agreed scope, but only after Morph explains the reason and anticipated impact in writing. A pause cannot be used to quietly extend the delivery promise where Morph is responsible for the delay.
6.4. A delay by Morph does not automatically waive a benchmark guarantee. We will give a revised handover estimate and preserve other rights provided by law and these Terms.
7. Agreed technical benchmark protocol
7.1. The Service has two cumulative acceptance benchmarks. Morph must satisfy both: (a) Lighthouse SEO category score 85 or higher, and (b) at least two of three agentic-browsing tasks passed. The initial and final tests use the same agreed public website and materially consistent testing setup.
7.2. Lighthouse SEO 85+: Before implementation, the Client and Morph record one public primary URL as the guaranteed benchmark page, ordinarily the homepage or principal commercial landing page. The benchmark relates only to the Lighthouse SEO category, not Lighthouse Performance, Accessibility, Best Practices, Google ranking or all ten scope pages. Morph records Lighthouse version, device profile (mobile, by default), audit configuration, test date and page URL. Two valid final runs should each report an SEO category score of 85+. Reports are retained as evidence.
7.3. Agentic Browsing 2/3: Before implementation, Morph records the browser-based AI agent/harness, permitted tools, starting URL, fixed prompt and success rubric for three public-site tasks: (a) Find and identify: Navigate to the public site and correctly report the business’s name and fundamental purpose. (b) Understand the offering: Identify the relevant service/product category and at least one accurate offering, without fabricating material facts. (c) Find the next action: Navigate to an accessible contact, booking, inquiry or purchase-intent destination relevant to a potential customer, without submitting a real order or personal information. At least two tasks must pass their recorded rubric in the final test. The results should be supported by transcripts, screenshots or equivalent machine-readable logs and human QA.
7.4. If an external tool temporarily fails for reasons unrelated to the website, Morph must record the incident and repeat the affected test using the same protocol within a reasonable period. Materially changing the model, prompts, success rubric or benchmark URL to manufacture a passing result is prohibited unless both parties explicitly agree to a justified substitution before the retest.
7.5. All benchmark outcomes measure the agreed technical test conditions only. They do not constitute a representation that Google has indexed or ranked the website, that any particular AI platform will cite/recommend it, or that organic visits, leads, sales or market share will improve. External search and AI platforms independently determine their results.
8. Corrective opportunity and the money-back guarantee
8.1. Our commitment: If either of the two benchmarks in Section 7 is not met at initial handover, Morph receives one correction opportunity, lasting up to five additional business days, at no additional service fee. We provide a clear notice of the missed metric(s), proposed in-scope correction and correction deadline.
8.2. After correction, Morph repeats the agreed failed benchmark test(s) under the same protocol and supplies a dated final retest record. A benchmark satisfied at initial handover may be rechecked for consistency where necessary; both benchmarks must be satisfied at final acceptance.
8.3. If, after the correction opportunity, either benchmark still fails for the eligible, agreed scope, the Client qualifies for the benchmark money-back guarantee. Morph will communicate the available refund without requiring purchase of further work. The Client may also submit a refund request within 14 calendar days of the final failed retest or Morph’s notice that it cannot remedy the issue. Failure to schedule the closing meeting does not remove this right.
8.4. Refund value: For the standard Search Readiness component, the benchmark remedy is based on the USD $499 service price, excluding VAT, less only documented, actually incurred, unrecoverable third-party payment-processing fees attributable to the relevant payment or refund, capped at 10% of that component ($49.90). No arbitrary flat 10% charge, internal labour cost, AI-token cost, onboarding charge or penalty is deducted. Any separately approved integration add-on is governed by its accepted written scope and applicable legal remedies; it must not be implicitly represented as covered by, or categorically excluded from, the $499 benchmark refund. VAT credit notes and refunds will be handled as applicable law requires. Mandatory statutory rights prevail.
8.5. Illustration, not the default: At the maximum allowable fee deduction, the net refund would be $449.10. The actual refund will be based on the transaction-specific fee record and may be higher.
8.6. Morph will initiate an approved refund through the original payment method within ten business days after confirmation of eligibility; bank/card settlement time is outside our control. We will provide the itemised refund calculation. If the original method is unavailable, we will propose an appropriately verified alternative compliant with payment rules.
8.7. The performance guarantee does not apply to an order closed under Section 5.3 for uncured failure to provide required prerequisites, or where an otherwise valid test failure was directly caused by the Client’s material misrepresentation, removal of necessary permissions after acceptance, unauthorised changes materially affecting the agreed tests, or refusal to permit an in-scope correction. Morph must give documented notice and a reasonable opportunity to remedy the relevant obstruction. The guarantee continues to apply to deficiencies within Morph’s accepted scope and control, and this exclusion does not displace non-waivable statutory rights.
8.8. We cannot exclude failures that were within Morph’s original accepted scope or caused by our implementation merely by describing them after the fact as ‘custom’. If Morph accepted the eligible project and is unable to meet the benchmarks within the correction window, the guarantee applies unless a documented client-caused obstruction satisfies Section 8.7.
9. Cancellations and other refunds
9.1. A Client who voluntarily cancels an otherwise technically eligible order before Morph’s Ready to Start notice, and who has complied with the applicable onboarding requirements and has not triggered Section 5.3, may request a refund of the amount paid less documented, unrecoverable payment-processing charges, capped at 10%, unless mandatory law requires more. This cooperative pre-start cancellation provision does not apply to Client-caused abandonment covered by Section 5.3.
9.2. After Ready to Start, voluntary cancellation not caused by Morph is not covered by the performance guarantee; any refund outside Section 8 requires a written agreement or arises under mandatory law. The same applies to a project that becomes impossible to continue because of uncured Client non-cooperation, subject to the reasonable retention and refund accounting in Section 5.3. This does not reduce rights for Morph’s misrepresentation, failure of service or other legal remedies.
9.3. If Morph cannot accept or commence an order for a cause within Morph’s control, including an incompatibility Morph should have screened before accepting payment, the remedy in Section 2.4 applies. Morph will not classify that outcome as Client abandonment.
9.4. Refund requests can be sent to hello@morph.ae. We may request order reference and reasonable verification of the purchaser, but never the full card number, password or sensitive account secrets.
10. Changes, site integrity and implementation authority
10.1. Morph will perform only changes within the scope and permissions agreed with your authorised representative. Where code deployment, plugin updates, edits to live checkout flows or other consequential activities pose a material risk, we will obtain specific approval or exclude/quote the work.
10.2. You agree that a recoverable backup/snapshot or documented rollback route exists before implementation. Morph records the work and reasonably coordinates with your designated technical owner. Neither party should overwrite the other’s concurrent deployment without coordination.
10.3. We will notify you of material unexpected risks. We may stop unsafe actions pending approval, and will document unresolved issues rather than implement undisclosed or destructive changes to achieve a score.
10.4. Except where Morph has separately agreed a maintenance engagement, ongoing monitoring and future search-engine or CMS compatibility updates are not included.
11. Data, AI-assisted processing and confidentiality
11.1. To perform the Service, Morph may inspect public website content, approved technical settings, limited authorised analytics metadata, page structures and the business facts you provide. We will not request access to payment information, customer databases, private messages or sensitive personal information as standard prerequisites.
11.2. You authorise Morph to use disclosed internal and third-party AI-assisted tooling for technical analysis and content-opportunity work only to the extent described in the applicable Privacy Notice, processor list or separate data-processing agreement. Any access to confidential, sensitive or personal data beyond the stated minimum requires an additional legal/technical assessment and explicit authorisation.
11.3. Each party will protect the other’s nonpublic information with reasonable safeguards and use it only for the agreed engagement or lawful recordkeeping. Access rights must be time-limited and removed or returned when no longer necessary.
11.4. Operational security procedures, subprocessors, international transfer requirements, incident reporting, retention and deletion schedules will be set out in Morph’s published privacy/data handling documentation or separate DPA where required. These terms do not independently claim a specific certification or security standard not yet substantiated.
11.5. Marketing emails, case study use, public screenshots and testimonials require their own appropriate permission. Purchase of the Service does not constitute consent to unrelated marketing outreach or public disclosure of the Client’s website results.
12. Ownership and rights
12.1. You retain rights in your website, domain, business data and other materials you own. Subject to full payment and third-party rights, you may use the delivered reports, keyword/content opportunity map and approved site changes for your business.
12.2. Morph retains its pre-existing methods, templates, code libraries, automation recipes, underlying models, internal tooling and Morph AEO Assistant intellectual property. No software licence or source-code ownership in those systems transfers under this $499 Service.
12.3. Third-party tools, platforms and software remain subject to their separate licences and availability; Morph does not claim endorsement or partnership unless expressly documented.
13. No ranking or business-outcome warranty
13.1. Morph guarantees only the agreed benchmark remedy in Section 8, not specific Google or AI rankings, indexing decisions, answers, citations, impressions, clicks, traffic, leads, sales, return on investment or future platform behaviour.
13.2. Keyword and content recommendations are professional prioritisation guidance based on available evidence, not a prediction of earnings or a promise that publishing particular material will lead to a defined commercial outcome.
13.3. The Service does not replace ongoing maintenance, security, legal, accessibility or comprehensive marketing management.
14. Liability and mandatory rights
14.1. Each party remains responsible for its own fraud, wilful misconduct and other liabilities that cannot be limited by applicable law. Neither party excludes rights that applicable law makes non-waivable.
14.2. Subject to those exceptions and mandatory law, Morph’s aggregate contractual liability for ordinary direct claims arising from the Service will not exceed the amount paid for the relevant order.
14.3. The guarantee in Section 8 is an express contractual remedy and is not negated by the general limitation above where mandatory law provides stronger rights.
15. Communications and disputes
15.1. All formal notices, correction records, scope approvals and refund outcomes should be provided in writing to the nominated business contact. Routine project communication runs through Morph Client Servicing.
15.2. Before litigation, the parties should first raise an issue to hello@morph.ae with the relevant order reference and allow a reasonable written response, without restricting statutory complaint or dispute rights.
15.3. The Agreement is governed by the laws of the United Arab Emirates. Subject to any mandatory jurisdictional rights that cannot be excluded, disputes shall be submitted to the courts of Dubai, United Arab Emirates.
